Terms of Service
Note on risk
Trading securities can lead to losses up to the amount of capital deployed, and beyond it in margin and uncovered short positions. Deploy only capital whose loss would not jeopardise your financial position. The details are set out in the Disclaimer & Risk Warning.
1. Scope and Acceptance
1.1 Binding Agreement
These Terms of Service ("Terms") govern your registration, access to, and use of GridTraderPro software and related services (collectively, the "Software"). By registering for an account, downloading, installing, or using the Software, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety.
1.2 Age Requirement
You must be at least 18 years old to use GridTraderPro. By accepting these Terms, you confirm that you meet this age requirement. If you are under 18, you may not register or use the Software.
1.3 Authority to Agree
If you are registering on behalf of a legal entity or organization, you confirm that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.
1.4 Changes to Terms
We may modify these Terms at any time. If we make material changes, we will notify you via email at least 30 days before the new terms take effect. Continued use of the Software after such notice constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must cancel your subscription and stop using the Software.
2. Account Registration
2.1 Customer Account and Registration
You do not need a customer account to run GridTraderPro — the software runs with your license key. A customer account is created automatically with your first purchase. You will receive a one-time link by email to set your password.
From the purchase we take over:
- First and last name
- Email address
- Billing address (street and number, postal code, town, country)
- Phone number, if you provide one
You set yourself:
- Your password: at least 8 characters, with upper and lower case letters, a digit and a special character
- The language for our messages (German, English or Spanish)
- Optional: company name and preferred broker (Interactive Brokers, Charles Schwab or Alpaca)
Your email address links your account, your licenses and your invoices. It can therefore not be changed by yourself; please contact info@gridtraderpro.com.
2.2 Accuracy of Information
You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the accuracy of your account information. You must promptly update your information if it changes.
2.3 Account Responsibility
You are fully responsible for all activities that occur under your account, including:
- Maintaining the confidentiality of your password and other login credentials
- All orders, trades, and actions taken through your account
- Notifying us immediately if you suspect unauthorized access to your account
You acknowledge that sharing your login credentials is prohibited and that you alone are responsible for any consequences of such sharing.
2.4 One Account Per Email Address
Each email address has exactly one customer account. If you buy further licenses with the same address, they appear in your existing account; no second account is created.
Please sign in before a further purchase so that your invoices also end up in the same account. If you do not, a subscription may be held separately at our payment provider. Such subscriptions remain visible and cancellable in your account.
2.5 Cancellation and Deletion
You may cancel your subscription at any time in the customer portal or by email to info@gridtraderpro.com. Upon termination your licence is deactivated. We retain your customer record and payment receipts for the statutory retention periods and delete them thereafter; details are set out in the Privacy Policy. Data stored locally on your computer is removed by you.
3. License Grant
3.1 Non-Exclusive, Non-Transferable License
Subject to your compliance with these Terms and applicable payment, we grant you a non-exclusive, non-transferable, revocable license to download, install, and use GridTraderPro on a single personal computer or device for your own trading purposes only.
3.2 Hardware Binding
Your license is bound to your hardware device via a hardware fingerprint (CPU ID, Disk Serial Number, and MAC Address). The Software will not function if run on a different hardware device without explicit license transfer by you or our authorization.
If you need to transfer your license to new hardware due to equipment replacement, system upgrade, or other legitimate reasons, please contact support at info@gridtraderpro.com with proof of your original hardware. We may approve one hardware transfer per 12 months per license.
3.3 Single Installation
Each license entitles you to one active installation only. Concurrent installations on multiple devices are prohibited unless you have purchased multiple licenses or a plan that explicitly permits multi-device access.
3.4 Prohibited Uses
You may NOT:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
- Modify, adapt, translate, or create derivative works based on the Software
- Rent, lease, lend, sublicense, or transfer the Software or your license to any third party
- Remove, obscure, or alter any proprietary notices or labels on the Software
- Use the Software for any illegal purpose or in violation of any applicable laws
- Engage in market manipulation, insider trading, or other prohibited trading practices
- Resell, redistribute, or publicly share the Software or your license key
- Use automated tools, bots, or scripts to scrape data from the Software or GridTraderPro systems
- Use the Software in a way that violates your broker's terms of service or applicable securities laws
4. Subscription Plans and Pricing
4.1 Available Plans
GridTraderPro offers the following subscription tiers:
| Plan | Monthly | Yearly | Key Features |
|---|---|---|---|
| Starter | $49/month | $470/year | 1 broker, limited scenarios, basic support |
| Pro | $99/month | $950/year | Multi-broker, unlimited scenarios, all features, priority support |
| Lifetime | — | $1,999 (one-time) | All Pro features, lifetime access, no recurring fees |
"Lifetime" means the commercially useful life of the GridTraderPro software product line (current and successor versions within the same price tier). It does not refer to your personal lifetime or the lifetime of our company. Should a future version be offered at a higher price tier, a separate purchase or upgrade may be required.
4.2 Pricing and Taxes
All prices are displayed in USD and exclude applicable sales taxes, VAT, GST, or other transaction taxes. We will add applicable taxes at checkout based on your billing address. You are responsible for any taxes related to your use of the Software.
4.3 Coupon Codes
Promotional coupon codes and discount codes may be offered from time to time. Unless otherwise stated:
- Only one coupon code may be applied per subscription purchase
- Coupon codes are non-transferable and non-refundable
- Coupon codes cannot be combined with other offers or discounts
- Coupon codes may expire on specified dates
- We reserve the right to cancel or modify coupon offers at any time
5. Payment and Billing
5.1 Recurring Subscriptions
Monthly and yearly subscriptions are recurring. Your payment method will be charged automatically on each renewal date unless you cancel your subscription in advance. Your subscription will continue until cancelled by you.
5.2 Payment Processing
Payments are processed by Stripe. By submitting payment information, you authorize us and our payment processor to charge your payment method for all fees associated with your subscription. You acknowledge that you are responsible for providing accurate payment information and keeping it current.
5.3 Failed Payments
If a payment fails:
- We will attempt to charge your payment method again within 3 business days
- If the second attempt fails, your account enters a grace period of 7 days
- During the grace period, you retain access to the Software
- If payment is not successful after 7 days, your subscription will be suspended and access revoked
- Suspended accounts may be reinstated if payment is completed within 30 days
You are responsible for updating your payment method if you change payment providers or if your card is lost or expires.
5.4 Price Changes
We may change subscription prices at any time. If we increase prices, we will provide you with 30 days' written notice via email. Price increases apply to new subscriptions and renewals only. Your current subscription price will not change until your next renewal date after the price change takes effect. If you do not accept the new price, you may cancel your subscription before the new price takes effect.
5.5 Billing Cycle
Billing cycles begin on the date you sign up for a subscription (your "Billing Anniversary Date") and recur on the same date each month or year, depending on your plan. If your Billing Anniversary Date falls on February 29, the renewal date will be February 28 for non-leap years.
6. Free Trial
6.1 Trial Period
New users receive a 30-day free trial with limited demo features (5 levels, 50 shares, 100 Monte Carlo iterations, 1 scenario, no Active Trading). The trial period begins on the date you register and ends at 11:59 PM (UTC) on the 30th day of the trial period.
6.2 No Charge During Trial
During the trial period, you will not be charged. No payment method is required to start the trial. However, you must enter payment information if you wish to continue using GridTraderPro after the trial period ends.
6.3 Trial Conversion to Paid Subscription
Before your trial expires you may switch to a paid subscription. If you do not, the trial period ends and the Software is fully usable again only after you enter a valid licence key. Your locally stored configurations and scenarios remain unchanged on your computer and are available again once you purchase a licence.
6.4 One Trial Per Person
Only one free trial is permitted per person or hardware device. We reserve the right to cancel duplicate trial accounts and deny trial access to users who have previously completed a trial.
7. Cancellation and Refunds
7.1 Cancellation of Subscriptions
You may cancel your subscription at any time through your account settings or by contacting support at info@gridtraderpro.com. Cancellation takes effect at the end of your current billing period. You will retain access to the Software until the end of the paid billing period, after which your license is revoked.
7.2 Refund Policy
Monthly subscriptions: No refunds for partial months. If you cancel mid-month, you retain access until the end of your current billing month.
Yearly subscriptions: Yearly subscriptions are non-refundable except as provided below. If you cancel during the 12-month period, no pro-rata refund is issued. You retain access until the end of the 12-month period.
Lifetime subscriptions: Lifetime purchases are non-refundable (see Section 7.3).
7.3 Digital Content — No Right of Withdrawal
GridTraderPro is a digital product that is delivered immediately upon activation. By activating your license key, you consent to the immediate delivery of the digital content and expressly waive any right of withdrawal that may exist. Refunds are not granted unless required by mandatory applicable law.
7.4 Refund Method
Refunds will be issued to the original payment method used for the purchase. Refunds are processed within 14 business days but may take up to 30 days to appear in your account, depending on your payment processor and financial institution.
8. Software Updates and Maintenance
8.1 Updates and Patches
We may provide updates, patches, and improvements to GridTraderPro at our discretion. You agree to download and install updates as they become available to maintain compatibility, security, and functionality.
8.2 Mandatory Updates
We may require mandatory updates for security reasons or to maintain compatibility with broker APIs or market data providers. Failure to install mandatory updates may result in loss of functionality or access to the Software.
8.3 Major Version Upgrades
Major version upgrades (e.g., V8.0 to V9.0) may require separate purchase for Starter and yearly Pro subscribers. Lifetime licence holders receive major version upgrades within the same price tier at no additional cost; a future version in a higher price tier may require an upgrade purchase (see Section 4.1).
8.4 Maintenance and Availability of Our Systems
GridTraderPro runs on your own computer and is generally unaffected by maintenance on our systems. The website, customer portal and licence server may nevertheless be temporarily unreachable. If the licence server is unreachable during maintenance, the Software continues to operate on the last valid licence status. We give no availability commitment for these systems.
8.5 Discontinuation of Service
We reserve the right to discontinue GridTraderPro or any feature thereof. Should we do so, we will notify you in writing at least 90 days in advance.
Subscriptions (Starter, Pro): You will receive a pro-rata refund of any fees already paid for the period after the discontinuation date.
Lifetime licences: No refund is made, as no recurring fees were paid. Instead, before the licence server is shut down, we will provide a version of the Software that remains permanently usable without online activation. Your licence therefore keeps its value beyond the discontinuation.
9. Intellectual Property
9.1 Ownership of Software
All right, title, and interest in GridTraderPro, including all intellectual property rights (copyright, trademark, patent, trade secret, and all other proprietary rights), are exclusively owned by Algogrid Software GmbH or its licensors.
9.2 License, Not Sale
Your purchase or subscription does not constitute a purchase of the Software. You are granted a limited license to use the Software as described in Section 3. All other rights are reserved.
9.3 Your Data and Configurations
All data, configurations and scenarios you create in GridTraderPro remain on your computer. They belong to you alone; we acquire no rights in them and no access to them. If you voluntarily send us files as part of a support request, we use them solely to handle that request.
10. Data Protection and Privacy
10.1 Privacy Policy
Your use of GridTraderPro is also governed by our Privacy Policy, which is available at privacy.html. The Privacy Policy explains how we collect, use, and protect your personal data. Please review it carefully.
10.2 Broker Data
The Software installed on your computer connects directly to your broker, using the credentials you provide, in order to submit orders and retrieve account data. That connection runs between your computer and your broker and at no point passes through our systems.
- We never obtain access to your broker account, your positions, or your order history
- Market data and executed trades are cached exclusively on your own computer
- Your broker credentials are stored only in the Software's local configuration file on your computer and are never transmitted to us. They are not additionally encrypted; securing your computer against unauthorised access (operating system account, disk encryption, anti-virus) is your responsibility. We recommend granting your broker API keys only the permissions you actually need
- Our servers hold only your licence key together with its hardware fingerprint, your customer record, your payment records, and technical logs of licence validation
- We comply with all applicable data protection laws
10.3 Your relationship with your broker
Your broker account rests on a separate contract between you and your broker. Algogrid Software GmbH is not a party to that contract, has no influence over its content, and acts neither as an intermediary nor as an agent or representative of your broker. We are not a securities dealer, asset manager or investment adviser.
Your broker's terms alone govern the opening and operation of your account, the execution and routing of orders, execution prices, slippage and partial fills, commissions, spreads, financing and other charges, margin requirements, margin calls and forced liquidations, trading permissions including short selling and margin, restrictions on withdrawals, account suspension or closure, and the safeguarding of your assets.
Claims arising from any of these matters lie exclusively against your broker. If your broker changes its interface, fees, permissions or terms, or ceases operation in whole or in part, this does not affect these Terms and gives rise to no claim against us — in particular no claim to a refund, substitute or adjustment of your licence.
You are responsible for ensuring that your use of GridTraderPro is compatible with your broker's terms, in particular its rules on automated trading and API access.
10.4 Data Deletion
Your trading data resides exclusively on your own computer. You delete it by removing the Software and its data directory; we can neither access nor delete it. We retain only your customer record, licence record, and payment receipts, for as long as statutory retention obligations require, and delete them thereafter.
11. Risk Disclaimer
11.1 Reference to Disclaimer Document
IMPORTANT: Please review our separate Disclaimer & Risk Warning document, available at disclaimer.html. That document contains critical information about the risks of trading and use of GridTraderPro.
11.2 Summary of Key Risks
Trading involves substantial risk of loss. GridTraderPro does not:
- Guarantee profits or positive returns
- Provide investment or financial advice
- Compensate for losses resulting from trading decisions
- Guarantee accuracy of market data or calculations
- Guarantee uninterrupted or error-free operation
- Prevent losses from short selling or margin positions. Depending on your configuration and your broker account's permissions, the Software can sell short and trade on margin. In both cases losses can exceed the amount invested, and your broker may close positions without prior notice. Whether your account carries these permissions is determined by you and your broker
11.3 User Responsibility

13.2 Cap on Liability
Except as otherwise required by law, our total liability under these Terms shall not exceed the total amount you paid for GridTraderPro in the 12 months preceding the claim.

13.4 Broker Liability
Algogrid Software GmbH is not responsible for actions, omissions, or failures of your broker (Interactive Brokers, Charles Schwab, Alpaca or any other supported broker). The same applies to market data you obtain through your broker. Your broker is responsible for order execution, safeguarding your account, and compliance with securities law. Any claims relating to your broker must be addressed to the broker; see Section 10.3.
13.5 Statutory Limits
The limitations in this section apply to the maximum extent permitted by applicable law. Nothing excludes liability for death or personal injury caused by negligence, for intent or gross negligence, for fraudulent conduct, or any other liability that cannot be excluded under applicable law, including Art. 100 of the Swiss Code of Obligations. Mandatory consumer protection provisions are reserved.
13a. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, war, terrorism, government actions, exchange shutdowns, broker or API provider system failures, internet outages, cyberattacks, or acts of God. During any such event, the affected obligations shall be suspended without constituting a breach of contract.
13b. Limitation Period for Claims
Claims arising out of or in connection with these Terms are subject to the statutory limitation periods. You will report any defect or incident to us within 30 days of becoming aware of it, so that we can investigate and remedy it.
13c. Class Action Waiver
To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.
14. Indemnification
You agree to indemnify, defend, and hold harmless Algogrid Software GmbH and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:
- Your use of GridTraderPro in violation of these Terms
- Your trading activities and resulting losses
- Violation of any applicable law by your use of the Software
- Infringement of third-party rights by your use of the Software
- Any breach of your representations or warranties in these Terms
15. Warranty Disclaimer
15.1 "As-Is" Provision
GRIDTRADERPRO IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. We further disclaim the warranties of non-infringement and title. Section 13.5 applies.
15.2 No Guarantee of Performance
We make no guarantee regarding:
- The accuracy, completeness, or timeliness of market data or calculations
- The profitability or returns of any trading strategy
- The uninterrupted, error-free, or secure operation of the Software
- Compatibility with your broker's systems or other third-party services
- That defects will be corrected or that errors will not recur
15.3 Third-Party Services
GridTraderPro depends on third-party services including broker APIs, market data providers, and payment processors. We are not responsible for failures, interruptions, or errors in these services.
15.4 Beta Features
Individual features are expressly designated as beta. This currently applies to live trading via Alpaca: the integration is implemented but has not yet been tested end to end with real capital. Paper trading via Alpaca and the Interactive Brokers and Charles Schwab integrations are unaffected. Beta features are provided without any assurance as to scope, stability or availability. Use beta features with real capital only after verifying them in paper trading, and start with position sizes you can afford to lose.
16. Termination
16.1 Termination by User
You may terminate these Terms at any time by cancelling your subscription through your account settings or by written notice to info@gridtraderpro.com.
16.2 Termination by Algogrid Software GmbH

17.2 Jurisdiction and Venue

You consent to the jurisdiction and venue of these courts and waive any objection based on forum non conveniens or similar grounds.

The seat of the arbitration is Solothurn, Switzerland; the language of the proceedings is German or English. Each party bears its own costs; the costs of the arbitral tribunal are shared equally.
18. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator, that provision shall be severed, and the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
19. Entire Agreement
These Terms, together with the Privacy Policy, Disclaimer & Risk Warning, and any other policies referenced herein, constitute the entire agreement between you and Algogrid Software GmbH regarding your use of GridTraderPro and supersede all prior or contemporaneous negotiations, representations, or agreements, whether written or oral.
